Numerous Secretary of State offices across the U.S. have posted a notice warning corporations about a deceptive solicitation that offers to prepare an annual minutes disclosure statement for a fee of $125.00. The questionable solicitation is often entitled “2014 (or 2015) -Annual Minutes Form.” This form can be easily mistaken as official correspondence from the State of New York or other foreign jurisdiction. Although corporations are required to maintain annual minutes, in New York and most other jurisdictions they are not required to file annual meeting minutes with the Division of Corporations of the Secretary of State (or like agency in other states).
